Terms and Conditions (“Terms”)

Please read these Terms and Conditions (“Terms”) carefully before using the services provided by Caribbean Clicks (“Agency,” “we,” “us,” or “our”). These Terms govern your use of our services, including but not limited to digital marketing, SEO, PPC, social media management, and web design (collectively, the “Services”).
1. Agreement to Terms
By engaging Caribbean Clicks for any Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, then you may not access or use the Services.
2. Service Scope and Authorization
2.1. Services: We will perform digital marketing services as outlined in a separate, mutually agreed-upon Statement of Work (SOW) or Service Agreement. Any changes to the scope of work must be agreed upon in writing. 2.2. Authorization: The Client authorizes the Agency to access any of the Client’s accounts (including website, social media, ad platforms, and analytics) necessary to perform the Services as defined in the SOW. The Client agrees to provide necessary passwords, access, and cooperation for the duration of the engagement.
3. Client Responsibilities
3.1. Content: The Client warrants that all materials, content, images, and data provided to the Agency for use in the Services are legally owned or licensed by the Client, do not infringe upon the rights of any third party, and comply with all applicable laws. The Client will indemnify the Agency against any legal claims arising from the content provided. 3.2. Timely Feedback: The Client agrees to provide timely feedback, approvals, and necessary data requested by the Agency to ensure the efficient delivery of Services. Delays by the Client may result in extended project timelines or additional fees.
4. Financial Terms and Payment
4.1. Fees: The fees for the Services will be clearly stated in the respective SOW. Fees are typically invoiced on a monthly basis or according to milestones. 4.2. Ad Spend: The Client is solely responsible for all third-party advertising costs, media buys, or platform fees (e.g., Google Ads, Meta Ads) incurred as part of the Services. These costs are separate from, and in addition to, the Agency’s service fees. 4.3. Payment: All invoices are due [Insert Due Date, e.g., net 15 days] from the date of the invoice. Overdue payments may result in the temporary suspension of Services until the account is current.
5. Intellectual Property (IP) and Ownership
5.1. Client Ownership: Upon full payment for the Services, the Client retains full intellectual property rights and ownership over all tangible work product created specifically for the Client, including but not limited to website content, written ad copy, graphics, and final developed website code. 5.2. Agency Ownership: The Agency retains all intellectual property rights to its pre-existing materials, proprietary methods, software, internal tools, and general know-how used to deliver the Services.
6. Disclaimers and Limitation of Liability
6.1. Performance Disclaimer: The Agency provides its Services on an “as is” and “as available” basis. While we strive to achieve the best possible results, we cannot guarantee specific results in rankings, traffic, or sales, as these are dependent on factors outside our control (e.g., search engine algorithm changes, market competition, or client budgets). 6.2. Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Caribbean Clicks be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.
7. Termination
Either party may terminate the Services with [Insert Notice Period, e.g., thirty (30) days] written notice to the other party, provided all outstanding fees are paid up to the effective termination date.
8. Governing Law
